Terms of Service

These terms set out the conditions and procedures for using the websites and services provided by Vacatio Inc. ("the Company") — including Vacatio Solution, FineStay and VACATIO Hotel — together with the rights, obligations and responsibilities of the Company and its users. The Company complies with the Act on Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions and other applicable laws of the Republic of Korea. Article 1 (Purpose)
The purpose of these terms is to govern the rights, obligations and responsibilities between the Company and users, as well as the conditions and procedures for using the Company’s services.
Matters not covered by these terms are governed by applicable law and by the service guide and booking conditions of each individual service.
Article 2 (Definitions)
(1) "Service" means the websites operated by the Company, its lodging-operations software (Vacatio Solution), its accommodation booking service (FineStay), the accommodation facilities the Company operates directly (VACATIO Hotel), and all ancillary services.
(2) "User" means anyone who uses the Service under these terms, including business members (parties to a subscription agreement, such as lodging operators) and general users (booking customers, website visitors and the like).
(3) "Subscription Service" means the cloud-based software (PMS, CMS, RMS and similar modules) that the Company provides to business members for a fee over a defined period.
(4) "Customer Data" means data that a business member enters, generates or uploads while using the Subscription Service, such as reservation records, room information and guest details.
(5) Terms not defined in this Article have the meaning given by applicable law and by the service guide for each service.
Article 3 (Effect and amendment of these terms)
(1) These terms take effect when they are posted on the Service or otherwise communicated to users.
(2) The Company may amend these terms within the bounds of applicable law, including the Act on the Regulation of Terms and Conditions and the Act on Consumer Protection in Electronic Commerce.
(3) When amending these terms, the Company will post the effective date and the reasons for the change on the Service at least 7 days before that date. For changes that are unfavourable to users or otherwise material, notice is given at least 30 days in advance and business members are additionally notified individually, for example by email.
(4) A user who does not agree to the amended terms may terminate the agreement before the effective date. The Company will not disadvantage a user merely for declining to accept amended terms.
Article 4 (Description of the Service)
The Company’s services are categorised as follows. Detailed features, fees and conditions for each service are set out in that service’s guide and in the individual agreement.

Article 5 (Formation of the agreement)
(1) An agreement to use the website services is formed when the user agrees to these terms and uses the Service.
(2) An agreement for the Subscription Service (B2B) is formed when a business member applies and the Company accepts the application. The term, fees, scope of provision and other details are set out in a separate service agreement or order form; where an individual agreement differs from these terms, the individual agreement prevails.
(3) An accommodation booking (B2C) is formed when the user submits booking details and payment information and the Company or the partner property confirms the reservation and notifies the user.
(4) The Company may decline an application, or terminate the agreement afterwards, where the applicant has used another person’s identity, has provided false information, where no rooms or capacity are available, or where the purpose of the application is plainly to breach applicable law or these terms.
(5) A minor may require the consent of a legal representative to use the Service, and a legal representative may cancel the agreement in accordance with applicable law.
Article 6 (Fees, payment and refunds)
(1) Fees, billing cycles and whether VAT is included are as displayed in the service guide, on the booking screen, or in the individual agreement for each service.
(2) Payments by credit card, bank transfer and similar methods are processed through the payment services of NICE Payments Co., Ltd. Information required for payment is provided to the payment gateway; details are set out in the Privacy Policy.
(3) Subscription fees are charged on the cycle set out in the agreement, and a user may cancel a subscription by the procedure set out in that agreement. Settlement for any remaining term follows the individual agreement and applicable law.
(4) Cancellations, changes and refunds for accommodation bookings follow the cancellation and refund policy disclosed at the time of booking. That policy applies only insofar as it is consistent with the Act on Consumer Protection in Electronic Commerce and the Korea Fair Trade Commission’s Criteria for Resolution of Consumer Disputes; where it conflicts with the law, the law prevails.
(5) Where the Service is not provided, or is provided differently from what was agreed, due to the Company’s fault, the user may request a refund or a reduction in price for the affected portion, and the Company will comply without delay.
(6) Refunds are made to the original payment method as a rule; where that is not possible given the nature of the payment method, they are made by a method agreed with the user.
Article 7 (Obligations of the Company)
(1) The Company complies with applicable law and these terms, and endeavours to provide the Service continuously and reliably.
(2) The Company protects users’ personal data in accordance with the Personal Information Protection Act and its Privacy Policy, and does not use it for purposes other than providing the Service.
(3) Where the Company recognises an opinion or complaint raised by a user as legitimate, it will address it and inform the user of the progress and the outcome.
(4) The Company takes reasonable technical and administrative measures to keep the Service secure.
Article 8 (Obligations of the user)
(1) Users must comply with applicable law, these terms, the service guide and Company notices, and must provide accurate information when applying or booking.
(2) Users must not engage in any of the following:
1. using another person’s identity, account or payment method, or registering false information;
2. deliberately interfering with the operation of the Service, or placing an excessive load on servers or infrastructure;
3. infringing the intellectual property, reputation, trade secrets or other rights of the Company or a third party;
4. reverse-engineering, copying or modifying the Service, or reselling or re-supplying it to third parties without the Company’s consent;
5. accessing the Service or harvesting data by automated means, other than in ways permitted by the Company;
6. posting or transmitting information prohibited by law, or using the Service for criminal purposes.
(3) Business members are themselves responsible for complying with data-protection obligations under applicable law in respect of guest information and other data processed through the Subscription Service.
Article 9 (Changes to and suspension of the Service)
(1) The Company may change all or part of the Service for operational or technical reasons, giving advance notice of the change and its effective date.
(2) Where the Service is temporarily suspended for routine reasons such as maintenance, equipment replacement or system updates, the Company will give advance notice of the reason and the duration.
(3) Where the Service is suspended by force majeure — natural disaster, power failure, network outage, national emergency and the like — notice may instead be given without delay after the fact.
(4) If the Company discontinues a service, it will give notice at least 30 days before the closing date and refund users the amount corresponding to the unused portion of any paid service.
Article 10 (Restrictions on use)
Where a user breaches these terms or applicable law, the Company may restrict use in stages as set out below. When imposing a restriction, the Company notifies the user of the reason, the duration and how to object, and the user may object by the method given in that notice.

※ A user who considers a restriction unjustified may object at operation@vacatio.us; if the Company finds the objection well-founded, it will restore access immediately.
Article 11 (Intellectual property)
(1) Intellectual property rights in the Service and in the software, designs, trade marks, documents, editorial content and other works it contains belong to the Company or to the rightful owner.
(2) The Company grants users a non-exclusive, non-transferable right to use the Service for the term of use; users may not copy, distribute, sell or pledge it without the Company’s prior consent.
(3) Rights in works posted to the Service by a user remain with that user; the Company may use them only to the extent necessary to operate, improve and promote the Service.
Article 12 (Postings and Customer Data)
(1) Ownership of and authority over Customer Data rest with the business member; the Company processes it as an entrusted processor only to the extent necessary to provide the Subscription Service. Details of the entrustment of personal data processing are set out in the Privacy Policy.
(2) The Company does not access, use or disclose Customer Data to third parties without the business member’s instruction. It may access the minimum necessary data where there is a lawful request under the law, or where access is unavoidable to resolve an incident or investigate a security breach, and will notify the member afterwards.
(3) On termination, a business member may request the return of, or a copy of, its Customer Data within 30 days of the termination date. After that period the Company destroys the data, other than information it is required by law to retain.
(4) Where content posted on the Service is found to breach applicable law or infringe the rights of others, the Company may delete it or suspend its display, notifying the poster of the reason.
Article 13 (Limitation of liability)
(1) The Company is not responsible for failure to provide the Service caused by force majeure, such as natural disaster, power failure or network outage.
(2) The Company is not responsible for loss caused by the user’s own fault, such as entering incorrect information or failing to safeguard an account or payment method.
(3) The Company is not responsible for loss arising from failures in third-party systems such as external booking channels or payment gateways, insofar as they are outside its control. It will, however, inform users as soon as it becomes aware of such a failure and cooperate in restoring service.
(4) For bookings made through FineStay, the Company provides brokerage and payment processing; responsibility for performing the accommodation service itself rests with the partner property. This does not apply where loss is caused to the user by the Company’s intent or negligence.
(5) The exclusions in this Article do not apply to loss caused by the Company’s intent or gross negligence, or to any other loss for which exclusion is not permitted by law.
Article 14 (Dispute resolution, governing law and jurisdiction)
(1) The Company endeavours to address legitimate opinions and complaints raised by users; inquiries may be sent to operation@vacatio.us.
(2) In the event of a dispute, the Company and the user will seek to resolve it by agreement. Failing agreement, a user may apply for mediation to the Korea Consumer Agency’s consumer counselling centre (1372) or to the Electronic Commerce Mediation Committee.
(3) These terms and the use of the Service are governed by the laws of the Republic of Korea.
(4) Any lawsuit relating to use of the Service is to be brought before the court having jurisdiction under the Civil Procedure Act.
